5. Software and Firmware

5.1 License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the software and firmware provided with our products solely for your personal, non-commercial use in connection with the products.

5.2 Restrictions

You may not:

Copy, modify, or create derivative works of the software or firmware
Reverse engineer, decompile, or disassemble the software, firmware, or hardware
Remove or alter any proprietary notices on the products, software, or firmware
Use the software or firmware with unauthorized hardware or devices
Distribute, rent, lease, lend, sell, or sublicense the software or firmware

5.3 Updates

We may from time to time develop patches, bug fixes, updates, upgrades, and other modifications to improve the performance of our products, software, and firmware ("Updates"). You agree that we may automatically install such Updates without providing additional notice or receiving additional consent. If you do not want such Updates, your only remedy is to stop using the product.

5.4 Third-Party Software

Our products may contain third-party software that is subject to separate license terms. Your use of such software is governed by those license terms.

6. Intellectual Property Rights

6.1 Ownership

7. Prohibited Uses

You may use the Site and Services only for lawful purposes and in accordance with these Terms. You agree not to use the Site or Services:

10. Disclaimer of Warranties

NEITHER PENLEUS NOR ANY PERSON ASSOCIATED WITH PENLEUS MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SITE, PRODUCTS, OR SERVICES. WITHOUT LIMITING THE FOREGOING, NEITHER PENLEUS NOR ANYONE ASSOCIATED WITH PENLEUS REPRESENTS OR WARRANTS THAT THE SITE, PRODUCTS, OR SERVICES WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT THE SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE SITE, PRODUCTS, OR SERVICES WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

PENLEUS HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE.

THE FOREGOING DOES NOT AFFECT ANY WARRANTIES WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

11. Limitation of Liability

IN NO EVENT WILL PENLEUS, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SITE, PRODUCTS, SERVICES, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SITE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, LOSS OF CRYPTOCURRENCY ASSETS, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

IN NO EVENT WILL PENLEUS'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS, DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC PRODUCT THAT GAVE RISE TO THE CLAIM.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

12. Indemnification

You agree to defend, indemnify, and hold harmless Penleus, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site, Products, or Services, including, but not limited to, your User Contributions, any use of the Site's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Site.

13. Governing Law and Jurisdiction

All matters relating to the Site, Products, Services, and these Terms, and any dispute or claim arising therefrom or related thereto, shall be governed by and construed in accordance with the internal laws of the State of Texas without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Site, Products, or Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of Texas, in each case located in the City of Frisco and County of Collin. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

14. Arbitration

At our sole discretion, we may require you to submit any disputes arising from these Terms or use of the Site, Products, or Services, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying Texas law.

15. Waiver and Severability

No waiver by Penleus of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Penleus to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

16. Entire Agreement

These Terms, our Privacy Policy, and any other terms explicitly agreed upon in writing between you and Penleus constitute the sole and entire agreement between you and Penleus regarding the Site, Products, and Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site, Products, and Services.

17. Changes to the Terms

We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the Site thereafter.

Your continued use of the Site, Products, or Services following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page from time to time so you are aware of any changes, as they are binding on you.
